OpZira Raises $1.1M Seed for AI-Powered Eye Disease Diagnostic

When Alcon completed its acquisition of photobiomodulation therapy company LumiThera last fall, the deal came with an unusual twist: the diagnostic product lines didn't disappear into the Swiss medtech giant's portfolio. Instead, they were carved out to LumiThera's shareholders, forming a new entity called OpZira. Now that spinout has raised its first money—a $1.075 million seed round structured as SAFEs.

The Middletown, Pennsylvania-based company disclosed the raise in a Form D filing dated March 31, 2026, indicating first sales to six undisclosed investors starting March 17, 2026. The round carried a $50,000 minimum check and was structured under Rule 506(b), which gives OpZira latitude to continue raising capital without a defined endpoint.

It's a modest sum for a company that inherited two full diagnostic platforms, though perhaps not surprising for what amounts to a corporate orphan finding its footing. The investors weren't named in the regulatory filing—fairly standard for early-stage deals—and it appears OpZira has not publicly announced plans for capital deployment or what traction it's seeing in the market since the spinout.

What OpZira Actually Does

The company now owns two diagnostic systems that trace their lineage through a series of medtech acquisitions. The first is AdaptDx Pro, a wearable dark adaptometer that measures how quickly a patient's rod photoreceptors recover after exposure to bright light. The headset eliminates the need for a darkened exam room—historically a logistical headache for ophthalmology practices—and includes an onboard AI assistant called Theia that walks patients through the test while handling eye tracking and alignment.

OpZira markets the device as a tool for detecting early rod dysfunction, a functional change that may show up before structural damage becomes visible on imaging. A peer-reviewed overview published in Diagnostics in June 2025 described dark adaptometry as useful for assessing photoreceptor and retinal pigment epithelium health, though the authors flagged practical concerns around exam duration and staffing needs.

Worth noting: OpZira's own materials carry a regulatory disclaimer. AdaptDx Pro is available commercially in the U.S., but it's not FDA-approved for diagnosing specific ocular diseases. That puts it in a gray zone common to many diagnostic tools—useful for clinical assessment, but without a formal agency nod for disease detection.

The second platform is NOVA, an electrophysiology system that includes visual evoked potential (VEP) testing in the U.S. and select international markets. Electroretinography (ERG) modules are available outside the U.S. That technology has its own acquisition history: LumiThera picked up Diopsys in 2022, and earlier scooped up assets from MacuLogix, which had developed the original AdaptDx technology.

The Executive Carryover

Clark E. Tedford, who co-founded LumiThera and served as its chief executive, moved over to OpZira in the same role. Ryan Montecucco, general counsel at LumiThera and a key player in negotiating the Alcon deal, joined as chief legal officer. The company lists between 11 and 50 employees on its LinkedIn profile—a broad range that suggests either rapid hiring or the usual vagaries of self-reported headcount.

What's less clear is why Alcon didn't want these product lines. Diagnostic tools can complement therapeutic businesses, and Alcon certainly has the distribution muscle to scale them. The carve-out suggests either a strategic misalignment or a pragmatic decision to keep the acquisition focused on LumiThera's core photobiomodulation assets.

For OpZira, the spinout creates both opportunity and challenge. It's now an independent entity with established products and regulatory clearances, but it's also starting from scratch on brand recognition, customer relationships, and capital reserves. A million-dollar seed round buys time, though not much of it. Whether that's enough to prove the business model—or attract a larger financing round—is the question the company will need to answer in the months ahead.
