For Indian professionals holding equity in US tech giants, wealth on a spreadsheet didn't always translate to wealth in hand.

Rovia, a Bengaluru startup that built a platform specifically to untangle that problem, says it has raised $1 million in pre-seed funding led by Antler India. The round, announced on June 1, attracted backing from CDM Capital, AC Ventures, and Operators Studio, a San Francisco-based solo-GP fund. Individual investors include Parth Garg of Aspora, Shraeyansh Thakur (formerly with Peak XV Partners), and Apurva Chamaria from Google. Galaxy, the founder-investing program linked to Naval Ravikant, also appears among supporters, though the precise investment mechanics weren't disclosed.

The company frames the opportunity in sweeping terms: $1.5 trillion in equity compensation held by Indian professionals working for US-based technology firms—a figure the company itself cites, though independent verification remains elusive. Whether that number will prove prescient or aspirational is hard to say at this stage. But the investor lineup—venture firms and operators with footprints in both markets—suggests the cross-border wealth thesis has traction, at least in fundraising circles.

Operators Studio confirmed Rovia in its portfolio as a pre-seed RSU management platform. AC Ventures, a Gurugram-based founder syndicate, added the startup to its portfolio materials late in the spring, offering a glimpse of early validation from angel networks attuned to fintech infrastructure plays.

Shares as Shares, Not Cash

What Rovia actually does hinges on a specific pain point. Indian employees with vested restricted stock units often face an unpleasant set of choices: sell immediately through a corporate broker like Fidelity or Morgan Stanley (paying taxes in the US, then again in India), or leave the equity stranded in accounts that don't permit further diversification. Currency conversion spreads can quietly chip away at gains. Tax reporting across two jurisdictions becomes a mess.

Rovia's pitch centers on in-kind transfers—moving RSUs as shares, not liquidated into cash—into a US brokerage account cleared through Alpaca Securities, which carries FINRA and SIPC credentials. Once transferred, users can diversify holdings across US equities or ETFs. The platform tracks the Indian rupee cost basis at each vesting event and generates India-specific tax documentation, a feature aimed at simplifying compliance headaches that trip up even financially literate employees.

The company registered Rovia Advisors LLC as an SEC investment adviser and incorporated Rovia Advisors Private Limited in India earlier this year, in February. The platform is now tracking more than $60 million in employee equity across portfolios tied to 300-plus companies, with reported month-over-month growth in assets under management hitting 100 percent during its beta phase, according to company-provided figures that await independent verification. (Those metrics, like many early-stage claims, deserve a degree of skepticism until they're stress-tested by scale.)

Rovia's revenue model steers clear of platform fees. Instead, it charges a 0.15 percent execution fee on trades, capped at $15, plus a $5 withdrawal fee. Whether that pricing holds as the user base expands—or as competitors sharpen their own offerings—remains to be seen.

Not Alone in the Market

Rovia isn't pioneering virgin territory. INDmoney and Vested Finance both offer cross-border investment capabilities and RSU transfer services, though product features and execution differ. The broader appetite for employee equity platforms is evident in the data. Morgan Stanley at Work reported servicing more than 3,400 global stock plan clients as of mid-2024. Research published by Fidelity noted that 43 percent of stock plan participants became first-time investors through equity grants—a signal that ownership through RSUs can open doors to broader wealth-building habits.

For Indian employees, the tax landscape adds complexity. Indian law classifies foreign equity held longer than 24 months as long-term capital gains, a distinction Rovia's educational materials highlight. Navigating that alongside US tax obligations, currency hedging considerations, and brokerage access rules creates friction that fintech startups see as exploitable inefficiency.

The Founders and What Comes Next

Shivang Badaya, co-founder and CEO, previously worked in strategy and growth at Zolve, a cross-border fintech that itself raised capital to serve Indian professionals living or working in the US. Press materials credit Badaya with roles spanning fundraising and corporate development during Zolve's climb to over $25 million in annual recurring revenue (though exact timelines aren't specified). He holds degrees from IIT Bombay and a CFA charter.

Arnav Grover, co-founder and chief product officer, brings product experience from stints at Vance and Zolve, along with credentials from IIT Bombay and IIM Calcutta. The duo launched an iOS app under the name "Rovia: Unlock your RSUs" in the spring, a branding choice that telegraphs the core value proposition without much subtlety.

The company listed its team size in the range of two to ten employees as of late spring—a skeletal crew for what it's hoping will become a wealth management platform trusted with millions in equity. The pre-seed funding gives Rovia runway to scale user acquisition and refine the India-US investment plumbing, but product-market fit at volume is still ahead, not behind.

Whether Rovia carves out a sustainable niche or gets absorbed into a broader cross-border fintech consolidation wave will depend on execution: Can it keep regulatory approvals intact across two jurisdictions? Can it build trust among employees nervous about moving their stock? Can it differentiate from entrenched players without burning through capital on customer acquisition?

For now, the startup has a million dollars, a regulatory foothold, and a thesis that resonates with anyone who's ever stared at an RSU vesting schedule from 8,000 miles away and wondered how to turn paper gains into something real. The rest is just work.
